Website Terms of Use

These terms govern the public Litmus Risk website. The institutional platform, P&C Desk, policy and claims support from Litmus licensed professionals, brokerage placement, and other professional services may be governed by separate agreements and authorizations.

Scope of These Terms

These Website Terms of Use ("Terms") govern your access to and use of litmusrisk.com and the public webpages that link to these Terms (collectively, the "Website"). The Website is operated by Litmus Holdings, Inc.

Litmus Holdings, Inc. and its affiliated entities (collectively, "Litmus," "we," "us," or "our") provide insurance technology, advisor-facing property and casualty coordination, risk-management, insurance advisory, claims-support, and related services. The Litmus Risk Website principally describes an institutional technology platform and P&C Desk offered to financial-advisory firms, licensed insurance agencies and brokerages, and their authorized representatives.

These Terms apply only to the public Website. They do not govern authenticated access to the Litmus Risk platform, customer subscriptions, implementation, data processing, support, service levels, or other contracted platform services. Those services may be governed by a master services agreement, order form, data-processing agreement, in-product terms, or another customer agreement. If a service-specific agreement conflicts with these Terms, the service-specific agreement controls for that service.

Insurance brokerage, insurance advisory, claims coaching, consulting, or other professional services may also be governed by separate applications, authorizations, proposals, engagement agreements, disclosures, carrier documents, or policy terms. If those documents conflict with these Terms, the service-specific documents control for that service.

Personal information processed through the Website, the Litmus Risk platform, a Litmus Insurance Solutions client portal, and related services is addressed in the Litmus Privacy Statement.

By using the Website, you agree to these Terms. If you do not agree, please discontinue using the Website.

Litmus Risk Institutional Platform

The Litmus Risk platform is an institutional software-as-a-service product offered to financial-advisory firms, licensed insurance agencies and brokerages, and their authorized representatives. It is not offered to consumers as a standalone retail software subscription. Platform features may help authorized users organize policies, documents, assets, household or business information, renewal information, workflows, communications, and insurance-related observations.

The Litmus Risk platform may be made available under the brand of a subscribing organization or another authorized organization. Clients, consumers, employees, service providers, or other authorized users may access parts of the platform in connection with that organization's relationship and when invited, supported, or administered by it. A subscribing financial-advisory firm remains responsible for its financial-planning relationship; a subscribing insurance agency remains responsible for its insurance relationship.

Under a separate customer or service agreement, Litmus may provide an advisor-facing P&C Desk. The advisory firm may direct whether the Desk prepares behind the scenes, joins an advisor-led meeting, or meets with a client. Desk professionals may organize information, prepare conversations, coordinate workflows, and maintain status visibility through review, placement, servicing, renewals, and claims support, subject to the applicable agreement, authorization, professional role, and law.

P&C Desk coordination does not itself authorize insurance solicitation, individualized coverage recommendations, quoting, placement, binding, or policy service. A Desk professional performs regulated insurance activity only if that person is appropriately licensed and authorized and is expressly acting in the disclosed provider capacity for the engagement.

Litmus Insurance Solutions may separately provide its clients with a consumer-facing client portal powered by Litmus Risk technology. That portal is made available as part of Litmus Insurance Solutions' consumer-facing services; it is not a direct-to-consumer subscription to the institutional Litmus Risk platform.

Descriptions, demonstrations, screenshots, sample data, and other references to platform functionality on the Website are informational. Features, integrations, availability, configuration, eligibility, and pricing may differ by customer, agreement, jurisdiction, or release.

Nothing on the public Website creates a platform account, subscription, customer relationship, service-level commitment, or right to access any platform feature.

Insurance Brokerage and Fulfillment Available Separately

Insurance brokerage services are separate from the Litmus Risk technology platform and P&C Desk coordination. A financial-advisory client may continue with an incumbent insurance professional or, where available, authorize Litmus to coordinate an appropriately licensed provider through the contracted Litmus service network. Depending on the applicable service arrangement, Litmus may recommend a provider based on scope, jurisdiction, and capacity or present a curated choice of qualified providers. The provider will be identified before regulated insurance work begins. The client must authorize the introduction and applicable information sharing, decides whether to proceed, and makes all coverage decisions.

When an insurance agency or brokerage subscribes to Litmus Risk, that agency remains responsible for its client relationship, insurance advice, policy support, shopping, quoting, placement, claims assistance, claims coaching, and ongoing servicing. The Litmus Risk platform is not a competing distribution channel. Client information processed for a partner insurance agency is not provided to Litmus Insurance Solutions for independent sales, marketing, cross-selling, solicitation, quoting, placement, policy support, claims assistance, or claims coaching.

Brokerage services may be provided by Litmus Holdings, Inc., doing business in California as Litmus Insurance Solutions, Inc., or by an unaffiliated licensed insurance agency or brokerage under a separate service arrangement. The disclosed provider is responsible for the regulated insurance services it performs and may provide its own terms, disclosures, authorizations, and privacy notice. The P&C Desk powered and managed by Litmus may remain available across either path. Provider-service status and advisor updates depend on client-authorized information access, provider participation, and the applicable agreements.

Litmus does not assume brokerage compensation from an incumbent broker or pre-existing provider relationship. When Litmus introduces or coordinates a client engagement with a contracted provider, Litmus may receive compensation only for business attributable to Litmus under the executed provider agreement and where legally permitted. Pre-existing accounts are excluded unless the parties expressly document otherwise. Any disclosure required by applicable law or the engagement will be provided through the appropriate service documents.

Litmus is not an insurance company and does not underwrite insurance. Insurance products are issued by third-party insurance carriers. Product availability, carrier access, underwriting, pricing, eligibility, terms, and geographic availability vary.

When Litmus provides insurance brokerage services in California:

  • California Property and Casualty License #6017185
  • California Adjuster License #2N60154

Licensing information may be verified through the applicable state insurance regulator.

Website Information Is Not Insurance Coverage or Professional Advice

Website content is provided for general informational, educational, and promotional purposes. It is not a complete description of any software feature, insurance product, policy, coverage, exclusion, condition, professional service, or legal obligation.

Nothing on the Website constitutes:

  • A binder or contract of insurance
  • Confirmation that insurance coverage is in effect
  • A guarantee that insurance or a platform feature will be available
  • A guarantee of any premium, limit, policy term, underwriting decision, or claim outcome
  • Legal, tax, accounting, investment, or financial advice

Actual insurance coverage is governed exclusively by the applicable policy and related carrier documents. If Website content differs from an issued policy, the policy controls.

Artificial Intelligence and Risk Information

The Website may describe artificial-intelligence features, policy-document processing, coverage observations, risk insights, summaries, recommendations, gap analysis, or other automated outputs.

These features and outputs may be incomplete, inaccurate, or require additional context. They are informational and support professional review. They do not replace professional judgment or an insurance carrier's underwriting, pricing, eligibility, billing, policy-issuance, or claims determinations.

Litmus does not use Website content or demonstrations by themselves to make final insurance underwriting, pricing, eligibility, binding, policy-issuance, or claims decisions.

Demo Requests and Other Website Submissions

Submitting a contact form, requesting a demonstration, asking a question, or providing information through the Website does not create a platform subscription, insurance coverage, brokerage relationship, advisory relationship, fiduciary relationship, claims-support engagement, or other professional-services relationship.

Any such relationship begins only when Litmus or the applicable service provider accepts the engagement through the relevant customer agreement, order form, application, authorization, brokerage process, engagement agreement, or other written confirmation.

You agree that information submitted through the Website will be accurate and complete to the best of your knowledge. If you submit information for another person or organization, you represent that you are authorized to do so.

Do not submit passwords, Social Security numbers, payment-card information, medical records, complete insurance applications, or complete client policy files through a general Website form unless the form expressly requests that information and provides an appropriate submission method.

No Time-Sensitive Insurance Instructions

Do not use a general Website form to:

  • Report an insurance claim
  • Request that coverage be bound
  • Add, remove, or change coverage
  • Cancel or renew a policy
  • Change an insured, vehicle, property, or location
  • Communicate a deadline-sensitive instruction

A Website submission is not effective until it has been received, reviewed, and expressly acknowledged by an authorized insurance professional.

Claims should be reported directly to the appropriate insurance carrier using the reporting instructions in the applicable policy unless the responsible insurance professional gives you different instructions.

Claims Coaching Available Separately

In a financial-advisor experience, Claims Coaching may be provided by Litmus or a designated qualified professional under the applicable service arrangement. In a partner-insurance-agency experience, claims coaching and related claims support are provided by the partner agency or its designated professionals. The claims-support provider will be identified as applicable. Claims Coaching may remain available regardless of which broker placed the insurance, but the Litmus Risk software platform itself does not provide professional Claims Coaching.

Claims Coaching may provide education, organization, communication support, and guidance concerning the claims process. It is a separate professional service, and its precise scope will be confirmed through an applicable engagement or service arrangement.

Claims Coaching does not guarantee coverage, payment, or any particular claim outcome. It does not replace your obligation to provide timely notice to the insurer, protect property from further damage, preserve documentation, or comply with policy conditions and deadlines.

Claims Coaching is not legal representation, does not create an attorney-client relationship, and is not a substitute for advice from a qualified attorney, accountant, tax professional, engineer, contractor, or other professional. Unless a separate written engagement expressly provides otherwise, Claims Coaching does not undertake responsibility for reporting a claim, satisfying policy conditions, preserving legal rights, or communicating time-sensitive instructions to an insurer on your behalf.

Customer, Organization, and User Responsibilities

Subscribing organizations and authorized Litmus Risk platform users are responsible for their devices, credentials, user access, tenant permissions, client assignments, lawful instructions, and authority to provide information to Litmus or through the platform.

Organizations are responsible for determining whether their use of the platform is appropriate for their regulatory, supervisory, recordkeeping, privacy, fiduciary, contractual, and professional obligations.

Users must protect credentials, use only accounts they are authorized to access, and promptly report suspected unauthorized access through the applicable support channel.

These responsibilities are summarized here for clarity. Applicable customer and platform agreements control the parties' specific responsibilities for contracted platform services.

Permitted Use of the Website

You may use the Website for lawful personal purposes or for the legitimate internal needs of an organization you are authorized to represent.

You may not:

  • Use the Website for an unlawful, fraudulent, or misleading purpose
  • Submit false, speculative, automated, or unauthorized requests
  • Attempt to interfere with the Website's operation or security
  • Introduce malicious code
  • Attempt to gain unauthorized access to systems or data
  • Copy, scrape, or systematically extract Website content
  • Impersonate another person or misrepresent your authority
  • Use Website content to train or operate an automated system without written permission
  • Infringe the rights of Litmus or another party

Integrations and Third-Party Services

The Website and platform descriptions may reference insurance agency management systems, financial-advisory systems, insurance carriers, policy providers, data services, identity services, communications tools, and other third-party products or services.

Third-party services are governed by their own terms and privacy practices. Litmus does not control and is not responsible for their independent acts, content, security, availability, or performance.

The availability or operation of an integration may depend on a subscribing organization's configuration, the third-party provider, authorization, technical compatibility, and the applicable customer agreement.

A reference or link does not necessarily constitute endorsement of every product, service, or statement offered by the third party.

Intellectual Property

The Website and its text, graphics, photographs, designs, software descriptions, product demonstrations, logos, trademarks, and other content are owned by or licensed to Litmus and are protected by applicable intellectual-property laws.

Litmus, Litmus Risk, and associated names and marks are trademarks of Litmus Holdings, Inc.

You may view and print reasonable portions of the Website for personal or internal business use. No other right or license is granted without prior written permission.

Rights concerning the Litmus Risk platform, customer data, feedback, configurations, and contracted deliverables are governed by the applicable customer or service agreement.

Privacy and Electronic Communications

Information collected through the Website is handled according to the Litmus Privacy Statement.

The Litmus Privacy Statement applies across Litmus websites, software platforms, applications, accounts, communications, and related services that link to or reference it.

When you submit a Website form, you authorize Litmus to contact you regarding the request using the contact information you provide. A general Website inquiry or Advisor Risk Brief subscription does not authorize brokerage activity, a provider introduction, or sharing client insurance information with a provider. Those authorizations are obtained separately where applicable. Consent to receive marketing communications will be addressed separately where required.

You consent to receive responses, disclosures, and other communications relating to your Website request electronically at the email address or telephone number you provide. You are responsible for providing accurate contact information and retaining copies of communications important to you. This consent does not require you to receive marketing communications.

Website Availability and Disclaimers

The Website and its content are provided "as is" and "as available." To the maximum extent permitted by law, Litmus disclaims warranties concerning the Website's accuracy, completeness, availability, security, merchantability, fitness for a particular purpose, and non-infringement.

Litmus does not guarantee that the Website will always be available, uninterrupted, secure, or error-free.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

These Website disclaimers do not replace or modify warranties, service commitments, or remedies expressly stated in an applicable signed customer or service agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, Litmus and its affiliates, officers, employees, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of, or inability to use, the Website.

This limitation applies to public Website use. It does not alter obligations, liability provisions, or remedies Litmus may separately accept under an applicable signed customer, brokerage, or professional-services agreement.

Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.

Indemnification

To the extent permitted by law, you agree to defend and indemnify Litmus against third-party claims arising from your unlawful use of the Website, your material violation of these Terms, or information you submit without authorization.

This section does not apply to claims resulting from Litmus's own negligence, willful misconduct, or violation of law.

Changes to the Website or These Terms

Litmus may update the Website and these Terms periodically. Updated Terms become effective when posted unless a later effective date is stated.

The "Last Updated" date will identify the most recent revision. Continued use after an update constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to any service-specific agreement that applies, any legal proceeding arising solely from these Terms or use of the Website must be brought in a state or federal court located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

Severability and Waiver

If a provision of these Terms is found unenforceable, it will be modified or limited only to the extent necessary, and the remaining provisions will remain effective.

A failure to enforce a provision is not a waiver of the right to enforce it later.
